How Steam Systems Ltd directors allegedly plotted to kick out ailing colleague
Registrar of Companies said there are no records to indicate that Kamande ceased being a director
The Directorate of Criminal Investigations (DCI) is investigating two directors of Steam Systems Ltd, who are accused of colluding with staff at the Business Registration Service to remove a fellow director.
Minesh Kantibhai Patel and Nayankumar Vithalbhai Patel are alleged to have removed Timothy Benson Kamande, a founding director, by taking advantage of his advanced age and health issues.
A lobby group, Concerned Citizens Kenya, says the move has caused him physical, psychological, spiritual and economic damage, shame, humiliation, fear and isolation, and trauma, which includes numbness and headaches, depression, fear of authority, flashbacks and intrusive thoughts, decreased self-esteem, introversion and lethargy.
In response to letters by the lobby’s President Frank Awino, the Registrar of Companies said there are no records to indicate that Kamande ceased being a director of Steam Systems Ltd or transfer his shares to someone else.
“It is noted that the last annual return in file by the company bearing his name is for the year 1994. We have no returns in record for the year 197 to date. However, we note that the annual returns filed from 1997 to date, the name of Timothy Benson Kamade (sic) is not among the list of directors or shareholders of the company,” Zacharia Mwangi, for the registrar, wrote.
He added that the letter of resignation dated March 14, 2022 signed by Kamande and the transfer deed were not filed with the registrar as indicated in the timelines and they could not trace them from the records of the company.
Kamande had also filed a complaint at the DCI headquarters, No. DCI/GEN/COMP.6/11/2021/2775 on December 14, 2021.
However, the DCI has not indicated progress made in their investigations.
Efforts to get a comment from the implicated directors have been futile as they did not reply to questions sent to them via mail, short text message and WhatsApp.

Steam Systems, which is based on off Enterprise Road, deals with engineering hardware, industrial equipment, industrial bearings, chains and safety equipment.
